In our second expert session of the year we will take a deep dive into legal due diligence - how is it conducted, and why is it important for the company and investors. The session will also highlight common issues arising from legal due diligence, particularly for early-stage companies raising seed/Series A capital, and focus on practical ways in which those issues can be resolved. Specifically we will cover:
· Why diligence is important;
· The options for sharing due diligence information and the extent to which that information is treated as "disclosed" against the company's warranties;
· Common due diligence issues such as asset (particularly IP) ownership issues, undocumented arrangements, capital structure (including shareholder loan/convertible note) and change of control issues; and
· Overseas Investment Act issues
