ABOUT THE PROGRAM

The Board/Company Secretary Essentials is the short course of Board/Company Secretary Program provides a key role in supporting the board. This 2 half-day days online program is intended for those who need to understand the breadth and scope of the role and responsibilities of both directors and those who support boards and in particular Company.


This course will discuss the role of a company secretary and provide practical instruction in relation to fulfilling that role in the context of the Myanmar Companies Law 2017 (MCL) and the requirements of the Directorate of Investment and Company Administration (DICA), including looking at key company secretarial regulatory compliance requirements under the MCL. Participants will be provided with a range of example documents to assist them in managing their own company secretarial activities.


By the end of the course you will understand:

  • The core responsibilities of a Company Secretary/Governance Professional.
  • The legal and regulatory components of Statutory Compliance in Myanmar for different types of company.
  • External reporting
  • Meeting Management; including types of meetings, conflicts of interest, minutes, and timelines.
  • Director Duties.
  • Basic Corporate Governance; including governance codes and approaches at international and Myanmar level.


TARGET AUDIENCE

It is also relevant to those professional who are directly involved in board support and board information preparation and presentation to help them provide to their boards the best quality board support and to enable them to consider what practical steps they can take to deliver better quality board support.

    Strategic CFO

    Daw Kim Chawsu is a finance and banking expert in Myanmar and international experience. She founded K.Academy, a capacity building initiative to upskill the professionals in Myanmar banking and finance sectors with a focus on board and senior management trainings.

    Kim is FCA (Fellow Chartered Accountant) from Institute of Chartered Accountant England and Wales (ICAEW) and holds a dual membership with Institute of Chartered Accountants Australia and New Zealand (ICAANZ). She is also a Fellow Director with the Thai Institute of Directors (Thai IoD). She spent over 20 years working in external audit and financial services in New Zealand and London.

    Director of Directorate of Investment and Company Administration (DICA)

    U Myo Min is a Director at the Directorate of Investment and Company Administration (DICA), in Myanmar’s Ministry of Investment and Foreign Economic Relations (MIFER). He served in the military as an engineer from 1994 to 2006, before being appointed to be Assistant Director in the Office of the Minister of National Planning and Economic Development. He was promoted to Deputy Director in 2009, and in 2011 to Deputy Head of Office in MNPED (now MOPFI).

    Myo Min transferred to DICA as a Director in November 2012 where he was responsible for the Company Affairs Division and played a leading role in the implementation of a new only company registry system (MyCo) following the adoption of the 2017 Myanmar Companies Law. He now represents the regulator in investment related matters in support of the Myanmar Investment Commission (MIC).

    Thaw Dar Sein’s practice includes advising on project financing, merger and acquisitions, labour and employment contract matters as well as general corporate and commercial matters.

    She also has experience in corporate transactional matters involving cross border mergers and acquisitions, private equity investment, banking and finance across various industries including telecommunications, energy, mining and real estate.

    She has been previously working at the Supreme Court of the Union of Myanmar for more than 28 years up to the position of the Deputy Director and has extensive experience in adjudicating the civil and criminal original, appeal and revision cases at the District Court level. After retiring from the Supreme Court of the Union, she admitted as Myanmar Legal Consultant in a Myanmar leading professional law firm. She joined the Allen and Gledhill (Myanmar) in 2018.

    She graduated from the Yangon University, Myanmar with an LLB and an LLM and an MA from Hiroshima University, Japan.

    She is fluent in English, Myanmar and Japanese.
