    HCM DEFENDER MEMBERSHIP AGREEMENT

    This Membership Agreement ("Agreement") is made and entered into by and between HCM Defender, LLC ("HCM Defender"), a cybersecurity industry community, and the undersigned party ("Member"). By executing this Agreement, the Member agrees to abide by the terms and conditions set forth herein.


    1. MEMBERSHIP TERMS 1.1 Membership Tiers & Benefits (outlined in Exhibit 1): Membership is available in various tiers, each offering distinct levels of access, benefits, and privileges, as outlined in HCM Defender' official membership documentation. 1.2 Eligibility: Membership is available only to entities and individuals who meet the qualifications established by HCM Defender. 1.3 Non-Transferability: Membership is exclusive to the Member and may not be assigned or transferred without written consent. HCM Defender may modify membership benefits at its discretion with 30 days' notice to Members, provided such changes do not materially diminish the value of the tier.


    2. MEMBERSHIP FEES & PAYMENT TERMS 2.1 Initiation & Annual Dues: Members agree to pay an initial membership fee and recurring dues as specified in their membership tier. 2.2 Payment Schedule: Fees are due annually unless otherwise agreed in writing. 2.3 Non-Payment: Failure to pay dues within thirty (30) days of the due date may result in suspension or termination of membership.


    3. MEMBER OBLIGATIONS Members' obligations and responsibilities are outlined in Exhibit 2, attached hereto, and incorporated by reference.


    4. TERMINATION & SUSPENSION 4.1 Voluntary Termination: A Member may terminate membership by providing thirty (30) days' written notice. 4.2 Termination for Cause: HCM Defender reserves the right to terminate membership for violations of this Agreement, unethical conduct, or non-payment. Termination for cause includes, but is not limited to, breaches of this Agreement, unethical conduct (e.g., fraud, misrepresentation), or actions harming HCM Defender' reputation. HCM Defender will provide 15 days' written notice and an opportunity to cure, where feasible, before termination. 4.3 No Refunds: Membership fees are non-refundable upon termination, except as required by law.


    5. LIABILITY & INDEMNIFICATION 5.1 Limitation of Liability: To the fullest extent permitted by law, HCM Defender' aggregate liability under this Agreement shall not exceed the fees paid by Member in the prior twelve (12) months. HCM Defender shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, arising from membership or use of its services or resources. 5.2 Indemnification: Member agrees to indemnify and hold harmless HCM Defender from claims arising from Member's actions or failure to comply with cybersecurity best practices. 5.3 Data Protection: HCM Defender will implement reasonable safeguards to protect Member data in accordance with applicable data protection laws. Members are solely responsible for ensuring their own compliance with such laws and regulations. 5.4 Intellectual Property: HCM Defender retains all rights to its materials and resources. Members grant HCM Defender a perpetual, royalty-free license to use contributions (e.g., content, insights) for organizational purposes.


    6. GENERAL PROVISIONS 6.1 Governing Law: This Agreement shall be governed by the laws of Oklahoma. 6.2 Amendments: HCM Defender reserves the right to modify this Agreement with notice to Members. 6.3 Entire Agreement: This Agreement constitutes the entire understanding between the parties regarding membership. 6.4 Force Majeure: Neither party shall be liable for delays or failure to perform due to causes beyond their reasonable control, including cyberattacks, natural disasters, or government actions.

    1. Adherence to Policies & Standards: Members must comply with all HCM Defender' rules, policies, and cybersecurity best practices to maintain a secure and professional community.
    2. Confidentiality & Data Protection: Members shall not disclose, distribute, or misuse any proprietary information, cybersecurity threat intelligence, or other privileged data obtained through membership. Reasonable measures must be taken to safeguard such information.
    3. Active Participation: Members are encouraged to engage in HCM Defender' programs, forums, and initiatives, contributing expertise and collaborating with fellow members.
    4. Responsible Use of Services: Members must use HCM Defender' resources, including the Association Management System (AMS), in an ethical and lawful manner, avoiding any actions that could compromise system integrity or the security of other members.
    5. Compliance with Legal & Ethical Standards: Members shall conduct themselves in accordance with all applicable laws and ethical business practices, refraining from any activity that could harm HCM Defender' reputation or its members.
    6. Promotion & Community Engagement: Members agree to actively promote HCM Defender' mission, services, and initiatives within their professional networks and communities. Members are encouraged to share relevant content, refer new members, and contribute to the overall growth and awareness of the organization.


    Elevated: Enhanced Engagement & Advocacy Obligations

    In addition to Essential Member obligations, Elevated members are expected to:

    1. Content Collaboration: Participate in co-branded content initiatives such as blog posts, case studies, or industry reports that highlight their success and partnership with HCM Defender.
    2. Event Participation: Agree to participate in at least one HCM Defender-hosted webinar, roundtable, or conference per year as a speaker, panelist, or active contributor.
    3. Referral Program: Actively refer at least three new potential members or partners per year and help expand the HCM Defender network.
    4. Brand Amplification: Share HCM Defender' content, marketing materials, updates, and thought leadership across their company's social media and marketing channels at least three times per year.


    Enterprise: Elite Advocacy & Strategic Alignment Obligations

    In addition to Essential and Elevated member obligations, Enterprise members are expected to:

    1. Strategic Thought Leadership: Collaborate with HCM Defender on efforts such as white papers, keynote speaking opportunities, or exclusive industry insights that position them as leaders in helping the HCM industry in the cybersecurity space.
    2. Joint PR & Marketing: Work with HCM Defender on joint press releases, featured articles, or co-marketing campaigns to drive awareness and influence.
    3. Advisory Role: If requested, serve as part of an exclusive advisory council that provides strategic feedback to HCM Defender, influencing future initiatives and industry direction.
    4. Exclusive Sponsorship & Endorsements: Enterprise members may have their brand featured as an official HCM Defender sponsor at key industry events, reinforcing their commitment to cybersecurity advocacy.

    2. Confidentiality & Data Protection: Members shall not disclose, distribute, or misuse any proprietary information, cybersecurity threat intelligence, or other privileged data obtained through membership. Reasonable measures must be taken to safeguard such information.
    3. Active Participation: Members are encouraged to engage in HCM Defender' programs, forums, and initiatives, contributing expertise and collaborating with fellow members.
    4. Responsible Use of Services: Members must use HCM Defender' resources, including the Association Management System (AMS), in an ethical and lawful manner, avoiding any actions that could compromise system integrity or the security of other members.
    5. Compliance with Legal & Ethical Standards: Members shall conduct themselves in accordance with all applicable laws and ethical business practices, refraining from any activity that could harm HCM Defender' reputation or its members.
    6. Promotion & Community Engagement: Members agree to actively promote HCM Defender' mission, services, and initiatives within their professional networks and communities. Members are encouraged to share relevant content, refer new members, and contribute to the overall growth and awareness of the organization.


    Elevated: Enhanced Engagement & Advocacy Obligations

    In addition to Essential Member obligations, Elevated members are expected to:

    1. Content Collaboration: Participate in co-branded content initiatives such as blog posts, case studies, or industry reports that highlight their success and partnership with HCM Defender.
    2. Event Participation: Agree to participate in at least one HCM Defender-hosted webinar, roundtable, or conference per year as a speaker, panelist, or active contributor.
    3. Referral Program: Actively refer at least three new potential members or partners per year and help expand the HCM Defender network.
    4. Brand Amplification: Share HCM Defender' content, marketing materials, updates, and thought leadership across their company's social media and marketing channels at least three times per year.


    Enterprise: Elite Advocacy & Strategic Alignment Obligations

    In addition to Essential and Elevated member obligations, Enterprise members are expected to:

    1. Strategic Thought Leadership: Collaborate with HCM Defender on efforts such as white papers, keynote speaking opportunities, or exclusive industry insights that position them as leaders in helping the HCM industry in the cybersecurity space.
    2. Joint PR & Marketing: Work with HCM Defender on joint press releases, featured articles, or co-marketing campaigns to drive awareness and influence.
    3. Advisory Role: If requested, serve as part of an exclusive advisory council that provides strategic feedback to HCM Defender, influencing future initiatives and industry direction.
    4. Exclusive Sponsorship & Endorsements: Enterprise members may have their brand featured as an official HCM Defender sponsor at key industry events, reinforcing their commitment to cybersecurity advocacy.
    5. Annual Community Impact Commitment: Demonstrate a commitment to cybersecurity education, mentorship, or public awareness campaigns in collaboration with HCM Defender.


    By agreeing to these obligations, members across all tiers contribute to the growth, influence, and credibility of the HCM Defender community while maximizing the benefits of their membership.
